Steve acts as bond counsel, special counsel and underwriters’ counsel for a wide array of financings at both the state and local level involving general obligation, revenue, loan program, securitization and other issues across the country.

Steve enjoys a varied practice that involves representation of states, cities, local and regional public authorities (including joint action agencies) and other special purpose entities and conduit issuers as bond counsel, and underwriters as underwriters’ counsel or special counsel.  Bond issues have included fixed rate, variable rate and multi-modal structures for, among others (a) general obligation bonds, (b) electric revenue bonds, (c) loan programs for higher education, (d) asset sales, (e) securitizations of cash flows, (f) tax credit and direct pay tax-advantaged bonds such as QECBs, QZABs and QSCBs, (g) economic development financings, and (h) commercial paper and other short-term financing vehicles.

Steve also advises clients with respect securities law disclosure issues, including continuing disclosure, private placements, credit and liquidity facilities, derivative products, and authorizing and other legislation.
