Diane Quan
Diane serves as bond counsel, disclosure counsel and underwriter’s counsel on tax-exempt and taxable financings for issuers large and small, on a wide range of credits.

Diane has advised state agencies, counties, cities, housing authorities, school districts, water districts, joint powers authorities, other public entities and banking institutions on the full panoply of structures used in public finance, including structures involving master indentures, direct purchases, delayed delivery bonds, tender and exchanges, securitizations, bond insurance, other credit and liquidity enhancement, self-liquidity, commercial paper, multi-modal documents and 63-20 financings. Among other things, Diane has assisted as bond counsel and disclosure counsel for two of the four largest school districts in California and two of the larger community college districts in Southern California and as  bond counsel for financings for a number of school districts undertaken through the Los Angeles County Office of Education and County of San Diego.  She has also served as bond counsel to the largest supplier of treated water in the United States and has served as bond counsel and disclosure counsel for various water districts.

Diane has extensive experience with short and long-term financings involving utility revenue bonds, housing revenue bonds, state revolving fund bonds, pooled financing bonds, cash flow financings, sales tax bonds, lease revenue bonds, certificates of participation, tax and revenue anticipation notes, general obligation bonds, pension obligation bonds, assessment bonds, green bonds, tobacco settlement securitization bonds and conduit bonds for 501(c)(3) borrowers. Her attention to detail, ability to communicate complex concepts and guidance have been particularly helpful for her work advising infrequent issuers.

Diane also provides federal securities law training to staff of various governmental entities, including the County of Los Angeles, the County of San Bernardino and the Los Angeles Unified School District.
